Smartos Booking Platform Terms of Use

PART A. GENERAL INTRODUCTION

1. Corporate Information

The Smartos Booking Platform ("Smartos", "We", "the Company") is operated by SMARTOS JOINT STOCK COMPANY.

  • Registered Address: 16-18 An Nhon 3, An Hai Ward, Da Nang City, Vietnam.

All rights and obligations arising from the use of the Platform are governed by the laws of Vietnam and these Terms.

2. Scope and Purpose

Smartos Booking is an online classifieds and listing platform that allows Lessors (businesses or individuals owning or managing real estate, offices, premises, apartments, serviced rooms, etc.) to list information about their rental spaces, and allows Renters (individuals or organizations looking to rent) to search, refer, and submit viewing requests or contact inquiries through the system.

Smartos strictly acts as an information channel and initial request receiver. We do not directly own, manage, or operate the listed assets, and we do not act as an e-commerce marketplace facilitating online transactions or bookings. All negotiations, contract signings, and rental payments occur entirely outside the Platform, directly between the Renter and the Lessor.

3. Acceptance of Terms

By accessing, registering an account, or using the Smartos Booking Platform, users acknowledge that they have read, understood, and agreed to be bound by these Terms, along with the Privacy Policy, Content Policy, and related documents published by Smartos.

If users do not agree with any part of these Terms, please stop using the Platform immediately.

PART B. PLATFORM TERMS

1. License to Use

Smartos grants users the right to access and use the Platform on a non-commercial, personal, non-exclusive, non-transferable basis, for the purpose of searching for rental spaces or providing information on rental services.

Any acts of data mining, copying, modifying, reusing the content or technological infrastructure of Smartos are strictly prohibited without the written consent of the Company.

2. Age and Legal Capacity

Users registering and using the information services on the Platform must be at least 18 years old and possess full civil capacity according to Vietnamese law. Registration by individuals who are underage or lack civil capacity will be considered invalid, and Smartos reserves the right to automatically cancel the account.

3. Prohibited Conduct

Users are not allowed to:

  • Post false, fraudulent, or duplicated information regarding the rental spaces.
  • Impersonate another organization or individual to post listings.
  • Collect data, copy, exploit, or use other users' information on the platform for private commercial purposes.
  • Send spam, phishing links, or distribute malicious code on the Platform.
  • Interfere with, sabotage, or disrupt the technical systems of the Platform.
  • Use information, images, or content that is offensive, contrary to fine customs and traditions, or violates the law.

Smartos reserves the right to disable content, temporarily lock, or terminate the account without prior notice if violations are detected.

PART C. USER ACCOUNTS

1. Account Registration and Usage

Users must create a Smartos Booking Account to post rental listings or submit viewing requests. Upon registration, users must provide accurate, complete information and update it promptly upon any changes.

Smartos reserves the right to request Lessors to provide legal verification documents corresponding to their organization/individual status to ensure the quality of information displayed on the Platform.

2. Security and Access

Users are responsible for keeping their login credentials secure and for all activities arising from their account. Any unauthorized use must be immediately reported to Smartos.

Smartos is not responsible for any losses arising from the user's failure to protect their personal login information.

3. Termination and Suspension

Smartos reserves the right to permanently lock or delete accounts if:

  • Exposing abusive behavior, posting false content, or committing fraud.
  • Requested by state regulatory authorities.
  • The account has seen no activity for an extended period.

Users may request account deletion by following the support procedure via email at support@smartos.space.

PART D. REQUEST RECEPTION & CONNECTION

1. Operational Mechanism

  • Renters can view available spaces and leave their personal info (Name, Phone Number, Requirement Details) to submit "Viewing Requests/Consultation Contacts".
  • Smartos will capture this request and securely forward the information directly to the corresponding Lessor of the space.
  • After the Lessor receives the information, the two parties will proactively contact, negotiate, and execute all transactions (onsite viewing, price matching, contract signing, deposit) completely outside the Platform's processing ecosystem.

2. Responsibilities of the Lessor

The Lessor posting listings on Smartos commits to:

  • Bearing full responsibility for the accuracy, truthfulness, and legality of the content, images, and reference prices posted on the Platform.
  • Bearing full responsibility for resolving any disputes or complaints from Renters arising during consultation, site visits, or contracting outside the Platform.
  • Remaining entirely liable for fulfilling tax obligations as well as acquiring necessary business, security, and fire safety licenses for the rental property in accordance with applicable laws.

3. Responsibilities of the Renter

The Renter utilizing the Platform to send requests commits to:

  • Providing authentic contact information and demonstrating a genuine renting intent.
  • Taking sole responsibility to personally inspect and evaluate the legality of the space and the credibility of the Lessor prior to signing any physical contracts or transferring deposits off-system.

4. Financial Issues & Payments

  • Smartos is currently a free information discovery platform for Renters and takes no part in financial distributions.
  • No online financial transactions (booking deposits, advances, rental payments, etc.) are conducted via the Smartos Booking Platform. The Company provides no payment gateways and accepts no responsibility for any invoices, receipts, or financial risks arising directly between Lessors and Renters.
  • For Lessors, Smartos may apply listing maintenance fees or advertising fees (if applicable), details of which will be communicated separately via individual business campaigns.

PART E. RESPONSIBILITIES & LIMITATION OF LIABILITY

1. Role of Smartos

Smartos is inherently a digital "classifieds board" and customer inquiry reception portal that charges no transaction fees. All agreements from the initial meeting stage to the contract signing remain independent civil transactions; Smartos does not act as a Broker or Commercial Agent for any party. Hence, Smartos holds no liability regarding:

  • The true ownership rights or legal status of the listed space;
  • The hygiene, security, amenities, or actual physical conditions of the rental space;
  • Any property damage, financial disputes, or fraudulent appropriation of property arising from the negotiated agreements between both parties.

2. Force Majeure & Exemption from Liability

Smartos is not liable for compensating any damages incurred by users due to:

  • System maintenance routines, network server errors, or force majeure events (natural disasters, pandemics, war).
  • Risks caused by third-party infiltrations or malware spreading beyond our reasonable technical control.
  • Business losses or lost partnership opportunities resulting from listing information not being accommodated in time.

Users, especially Lessors, agree to hold harmless and indemnify Smartos against any legal expenses if sued by a third party due to the Lessor's listing violations.

PART F. INTELLECTUAL PROPERTY & USER CONTENT

1. Platform Ownership

All source codes, data structures, algorithms, brand imagery, and logos of the Smartos Booking Platform are intellectual properties exclusively owned by Smartos Joint Stock Company.

Acts of copying the design or web scraping constitute severe copyright infringement.

2. User-Uploaded Content

Users posting rental listings bear their own copyright responsibilities for the images and textual descriptions uploaded to the Platform.

By uploading, the Lessor grants Smartos a non-exclusive, royalty-free license to store, optimize, and display that content on the Platform and related media channels to promote the space itself.

Smartos reserves full rights to immediately moderate and remove any content reported as infringing third-party copyrights without prior notice.

PART G. SECURITY & PRIVACY

1. Data Collection and Usage

Smartos collects basic personal information (Full Name, Phone, Email, Rental Needs) solely to accurately forward the contact inquiry to the respective Lessor.

All personal data is securely stored in full compliance with Decree 13/2023/ND-CP regarding Personal Data Protection in Vietnam.

2. Data Sharing

Renter's data inputted in the Contact Form will be shared directly and exclusively with the Owner/Lessor of that specific space to serve precise consulting needs.

We strongly commit not to sell this data to unauthorized third parties for marketing purposes, save for lawful requests from competent State authorities according to legal stipulations.

PART H. GENERAL PROVISIONS

1. Updates and Amendments

Smartos reserves the right to amend the provisions of the Terms of Use to adapt to the Platform's developmental trajectory. Update notices will be evidently displayed across our user interface.

2. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Vietnam. Any disputes between the Platform and Users will primarily be resolved via good-faith negotiation and mediation within 30 days.

If an agreement cannot be reached, the dispute may be deferred to the competent People's Court in Da Nang City for proceedings.
